Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lumina Engine beta application available at https://beta.luminaengine.ai (the "App") and any related websites, interfaces, APIs, and services (collectively, the "Service") provided by Lumie Holdings d/b/a Lumina Engine ("Lumina," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) Beta + Testnet Notice (Read This Twice)
The Service is an experimental beta running on the Miden testnet. This means:
- Testnet assets are for testing only and generally have no real-world value.
- The network may be reset, reorganized, halted, or changed without notice.
- Features may be incomplete, inaccurate, or break in creative new ways.
Do not use the Service with real funds. Do not attempt to send mainnet assets to testnet addresses. You are responsible for verifying networks, addresses, and transaction details.
2) Eligibility
You must be at least 18 years old (or the age of majority where you live) to use the Service.
You represent that:
- Your use of the Service is not prohibited by applicable laws.
- You are not subject to sanctions or located in a region where access is restricted under applicable sanctions laws.
- You will not use the Service for illegal activity, including money laundering, sanctions evasion, or fraud.
We may restrict or block access in any jurisdiction or for any address/account at our discretion to comply with law or reduce risk.
3) What the Service Is (and Is Not)
The Service provides:
- A UI to create and interact with private intents (including RFQ-style intents) on Miden.
- A UI for private transfers and payment-style requests (where available).
- A mechanism to exchange certain data via Lumina infrastructure (e.g., a transport layer) to support private note exchange and lifecycle tracking.
- A user-facing activity log (where available).
The Service is not:
- A bank, broker, exchange, money transmitter, or investment adviser.
- A guarantee of execution, liquidity, best price, or settlement finality.
- A promise of perfect privacy or anonymity (see Section 6 and the Risk Disclosure).
4) Non-Custodial Design and Wallets
Lumina is designed to be non-custodial:
- We do not ask for your private keys or seed phrase.
- If you connect a third-party wallet (e.g., a Miden wallet extension), that wallet is governed by its own terms and privacy practices.
- If you create a local account/wallet inside the App, key material is stored locally on your device (e.g., browser/local storage). If you lose access or delete storage without a backup, you may permanently lose access to that account.
You are solely responsible for:
- safeguarding keys, backups, and devices,
- verifying transaction details before signing,
- maintaining your own security hygiene.
5) Fees, Settings, and Test Tokens
The Service may display fees (e.g., "platform fees"), slippage limits, expiries, or other execution settings. During testnet beta:
- fees and settings may be simulated, non-final, or subject to change, and
- any amounts shown may be denominated in test assets.
If you use the Service in the future on mainnet or with real assets, fees and economics may differ materially.
You are responsible for all taxes or reporting obligations arising from your activities (even if the current beta is testnet-only).
6) Privacy, Visibility, and the Reality of "Private"
Lumina is built to reduce public information leakage (e.g., avoiding public orderbooks and on-chain signaling), but privacy is not binary.
By using the beta, you acknowledge:
- The Service is "private" relative to external observers in certain flows (e.g., encrypted notes / private intents on Miden).
- Some information may still be observable as metadata on network infrastructure (e.g., RPC requests, timing, amounts in some contexts, or wallet-level identifiers).
- During the beta, Lumina may operate internal monitoring tools (including an operator visibility dashboard) that can display trading/transfer lifecycle data for debugging, abuse prevention, support, and reliability.

7) Acceptable Use
You agree not to:
- violate any law or regulation,
- attempt to bypass security or access controls,
- interfere with the Service (DDoS, scraping, abuse),
- reverse engineer or exploit the Service except as permitted by law,
- submit malicious code, malware, or phishing,
- use the Service to facilitate fraud, sanctions evasion, or money laundering.
We may suspend or terminate access if we reasonably believe you violated these Terms or pose risk.
8) Third-Party Services and Content
The Service may rely on third-party services (e.g., wallets, RPC endpoints, analytics, charting/market data providers, infrastructure hosts). We do not control and are not responsible for third-party services.
Your use of third-party services is at your own risk and subject to their terms.
9) Intellectual Property
The Service (including UI, branding, software, and documentation) is owned by Lumina and its licensors and is protected by applicable intellectual property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.
10) Feedback
If you provide suggestions, bug reports, or feedback, you grant Lumina a perpetual, worldwide, royalty-free right to use it without restriction or compensation.
11) Suspension, Termination, and Changes
We may modify, suspend, or discontinue the Service (or any part of it) at any time, including resetting testnet state, removing features, or changing supported assets/pairs.
We may suspend or terminate your access at our discretion, including for security, compliance, or risk reasons.
12) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any privacy guarantees will be absolute.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED US $100 (OR THE MINIMUM AMOUNT PERMITTED BY LAW), UNLESS A DIFFERENT LIMIT IS REQUIRED BY APPLICABLE LAW.
14) Indemnification
You agree to indemnify and hold harmless Lumina and its affiliates, officers, directors, employees, and contractors from claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.
15) Governing Law
These Terms are governed by the laws of the Cayman Islands, without regard to conflict of laws principles.
